Pourtant, au Canada, moins de la moiti\u00e9 des PME disposent actuellement d&#8217;un plan de rel\u00e8ve.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Alors que chaque organisation devra, un jour ou l\u2019autre et pour assurer sa p\u00e9rennit\u00e9, vivre une situation de succession entrepreneuriale, l&#8217;id\u00e9e de planifier cette succession est \u00e9l\u00e9mentaire : elle implique les consid\u00e9rations et les processus li\u00e9s \u00e0 la pr\u00e9paration du transfert, de la vente ou de la cessation d&#8217;activit\u00e9s d&#8217;une entreprise de son (ou ses) propri\u00e9taire(s) actuel(s) \u00e0 un (ou des) successeur(s). La succession peut impliquer un transfert \u00e0 des membres de la famille, \u00e0 des employ\u00e9s ou encore \u00e0 des repreneurs externes. La r\u00e9ussite d\u2019une succession se traduit par la poursuite des activit\u00e9s de l\u2019entreprise.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">Les nombreux facteurs qui doivent \u00eatre pris en compte pour r\u00e9ussir un projet de rel\u00e8ve sont complexes et difficiles, car ceux-ci sont g\u00e9n\u00e9ralement gorg\u00e9s d&#8217;\u00e9motions.<\/p>\n<cite>&#8211; Associ\u00e9 principal, PPTA Services financiers<\/cite><\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">Or, et quels que soient la taille de l\u2019organisation ou son secteur d\u2019activit\u00e9s, la planification d\u2019une succession s\u2019accompagne de sentiments partag\u00e9s. Alors que de nombreux dirigeants reconnaissent le caract\u00e8re essentiel d\u2019une bonne rel\u00e8ve pour garantir la perp\u00e9tuit\u00e9 de leur entreprise, l\u2019abord de ce processus s\u2019adjoint \u00e0 une crainte commune ou du moins, une certaine r\u00e9ticence \u00e0 l\u2019\u00e9gard du changement \u00e0 venir. En effet, l&#8217;id\u00e9e de planifier un projet de rel\u00e8ve est l&#8217;une des questions les plus difficiles et complexes auxquelles sont confront\u00e9s les dirigeants. Pour la majorit\u00e9 des entreprises, elle est aussi une question tr\u00e8s personnelle. D\u2019ailleurs, un entrepreneur que j\u2019admire beaucoup explique: \u00ab&nbsp;c\u2019est un peu comme si ton \u0153uvre se poursuit<em>&nbsp;\u00bb.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Par cons\u00e9quent, de nombreux propri\u00e9taires peuvent \u00eatre r\u00e9ticents face \u00e0 la planification de la succession de leur entreprise. Toutefois, celle-ci est critique&nbsp;: non seulement elle constitue un d\u00e9terminant fondamental pour assurer des param\u00e8tres efficaces de transition, elle influence consid\u00e9rablement la viabilit\u00e9 de l&#8217;entreprise <em>apr\u00e8s<\/em> la transition. Pour assurer la r\u00e9ussite du plan de rel\u00e8ve, le (ou les) c\u00e9dant(s) doivent d\u2019abord r\u00e9pondre \u00e0 une question essentielle : pourquoi? Est-ce pour vendre afin de p\u00e9renniser son entreprise, son nom, ses valeurs; pour encaisser une somme d&#8217;argent n\u00e9cessaire \u00e0 la retraite; pour ralentir et prendre une retraite progressive ou pour mettre en place une rel\u00e8ve afin de mieux positionner l&#8217;entreprise \u00e0 moyen\/long terme? Ces questionnements pr\u00e9valent et moduleront les modalit\u00e9s de planification de la rel\u00e8ve par la suite.<\/p>\n\n\n\n<h5 class=\"caps wp-block-heading\"><strong class=\"focus-color\">Qu\u2019est-ce que la planification de la rel\u00e8ve?<\/strong><\/h5>\n\n\n\n<p class=\"wp-block-paragraph\">En fait, une telle planification couvre les questions relatives aux proc\u00e9dures n\u00e9cessaires \u00e0 une transition r\u00e9ussie dont notamment les aspects juridiques et financiers, les facteurs psychologiques, le d\u00e9veloppement du leadership de la rel\u00e8ve et les strat\u00e9gies de retrait \u00e0 court, moyen et long terme. En termes g\u00e9n\u00e9raux, il s&#8217;agit du processus par lequel les dirigeants planifient le transfert futur de l\u2019actionnariat et\/ou de la direction de l\u2019entreprise.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Alors que la planification est un processus ardu, certains \u00e9l\u00e9ments s\u2019av\u00e8rent toutefois plus complexes que d\u2019autres. Par exemple, des recherches r\u00e9centes montrent que l\u2019\u00e9valuation de l&#8217;entreprise a \u00e9t\u00e9 identifi\u00e9e comme un obstacle pour 48% des dirigeants d\u2019entreprise au Canada au moment de la succession entrepreneuriale (Wayland, 2019). \u00c0 cet effet, un accord commun sur la valeur de l&#8217;entreprise est essentiel \u00e0 une transition r\u00e9ussie entre chaque partie, de m\u00eame que les modalit\u00e9s l\u00e9gales et juridiques qui encadrent la transition. Qui plus est, l\u2019alignement et la d\u00e9finition des attentes, des objectifs et de la vision entre les deux parties doivent \u00eatre clairement \u00e9tablis afin d\u2019assurer une transition en toute confiance.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ceci \u00e9tant dit, c\u2019est la recherche d&#8217;un successeur ad\u00e9quat qui est g\u00e9n\u00e9ralement identifi\u00e9e comme principal obstacle \u00e0 la transmission de l&#8217;entreprise. Pour r\u00e9pondre \u00e0 cet enjeu, un cadre de planification de la rel\u00e8ve soigneusement r\u00e9fl\u00e9chi permettra d\u2019assurer le bon d\u00e9veloppement du leadership&nbsp;et s\u2019articule notamment autour du profil du ou des successeur(s) et du d\u00e9veloppement des comp\u00e9tences manag\u00e9riales. En voici ci-dessous les grandes lignes.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong class=\"caps focus-color\">Facteurs d\u00e9terminants <\/strong><strong class=\"caps focus-color\">pour l\u2019identification et le d\u00e9veloppement de la rel\u00e8ve<\/strong><\/h5>\n\n\n\n<p class=\"wp-block-paragraph\">Il est possible d\u2019identifier quatre \u00e9l\u00e9ments cl\u00e9s \u00e0 prendre en compte au moment de retenir et de d\u00e9velopper la rel\u00e8ve entrepreneuriale, \u00e0 savoir&nbsp;:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>Un leadership ax\u00e9 sur la durabilit\u00e9 de l\u2019entreprise<\/strong><\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">\u00c9videmment, identifier la bonne rel\u00e8ve n\u00e9cessite de reconna\u00eetre les individus pour lesquels la viabilit\u00e9 de l\u2019entreprise est une priorit\u00e9, voir m\u00eame une valeur ancr\u00e9e. Le succ\u00e8s d&#8217;une entreprise est d\u00e9termin\u00e9 par les comp\u00e9tences manag\u00e9riales de ses dirigeants et par leur leadership strat\u00e9gique, lequel repose sur l&#8217;implication des bonnes personnes dans la prise de d\u00e9cisions critiques pour l\u2019organisation. Il est donc essentiel que l&#8217;entreprise demeure entre les mains de dirigeants qui sont non seulement en mesure de comprendre et de transposer la vision de ses successeurs, mais aussi de lire et de s&#8217;adapter aux changements en cons\u00e9quence.<\/p>\n\n\n\n<ol class=\"wp-block-list\" start=\"2\">\n<li><strong>L\u2019entrepreneurship<\/strong><\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">Les leaders sont reconnus pour leur intuition et pour leur capacit\u00e9 \u00e0 lire l\u2019environnement d\u2019affaires qui les entoure. Or, l&#8217;instinct entrepreneurial qui permet aux leaders de d\u00e9finir leurs plans et leurs objectifs en fonction de l&#8217;\u00e9volution de l&#8217;environnement \u00e9conomique est un \u00e9l\u00e9ment critique pour toutes entreprises. En ce sens, l&#8217;entrepreneurship peut prendre plusieurs formes, chacune d&#8217;entre elles \u00e9tant adapt\u00e9e \u00e0 des contextes particuliers. De fa\u00e7on g\u00e9n\u00e9rale, deux grands facteurs d\u00e9terminent le style d&#8217;entrepreneurship privil\u00e9gi\u00e9, soit la force et la direction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">D\u2019abord, la force de l&#8217;entrepreneurship indique jusqu&#8217;\u00e0 quel point un individu est pr\u00eat \u00e0 d\u00e9ployer l&#8217;\u00e9nergie n\u00e9cessaire afin d&#8217;atteindre ses objectifs. Les personnes qui disposent d\u2019une force d\u2019entrepreneurship font preuve de proactivit\u00e9, sont orient\u00e9es vers les r\u00e9sultats, ont une forte confiance en elles et n&#8217;h\u00e9sitent pas \u00e0 prendre des risques afin de r\u00e9aliser leur projet entrepreneurial. Elles sont en contr\u00f4le de leur environnement et pers\u00e9v\u00e8rent malgr\u00e9 les difficult\u00e9s. Elles sont capables de man\u0153uvrer dans des environnements stressants et ambigus et elles investissent beaucoup d&#8217;efforts afin de cr\u00e9er un r\u00e9seau de contacts qui leur permettront de mener leurs projets \u00e0 terme. La direction de l\u2019entrepreneurship, quant \u00e0 elle, indique jusqu&#8217;\u00e0 quel point un individu est motiv\u00e9 \u00e0 mettre en \u0153uvre un projet d&#8217;entrepreneurship. Les personnes qui t\u00e9moignent d\u2019une forte direction pour l\u2019entrepreneurship sont optimistes et visionnaires. Pour elles, l&#8217;entrepreneurship est le mode de vie qu&#8217;elles favorisent par-dessus tout. Elles aiment se d\u00e9marquer et d\u00e9sirent innover et offrir de nouveaux produits ou services qui r\u00e9pondront aux besoins de leur client\u00e8le.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Alors que la cl\u00e9 d\u2019une bonne rel\u00e8ve est de trouver le profil entrepreneurial qui rencontre les besoins et la mission de l\u2019organisation, il devient crucial d\u2019\u00e9valuer la rel\u00e8ve selon les caract\u00e9ristiques principales qui distinguent les diff\u00e9rents types d\u2019entrepreneurs. Ceci, en se penchant sur tous les aspects importants qui touchent \u00e0 l\u2019entrepreneurship, \u00e0 savoir les conditions de succ\u00e8s, la capacit\u00e9 \u00e0 prendre des risques, la motivation et l\u2019int\u00e9r\u00eat \u00e0 devenir un entrepreneur, les caract\u00e9ristiques personnelles qui sont n\u00e9cessaires pour r\u00e9aliser un tel projet ainsi que l\u2019intention concr\u00e8te de se lancer\/\u00eatre en affaires.<\/p>\n\n\n\n<ol class=\"wp-block-list\" start=\"3\">\n<li><strong>L\u2019ad\u00e9quation avec les valeurs et la culture de l\u2019entreprise<\/strong><\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">La culture organisationnelle est ancr\u00e9e dans les valeurs qui sous-tendent la gestion d&#8217;une entreprise. Une d\u00e9finition bien articul\u00e9e et largement communiqu\u00e9e de la culture d&#8217;entreprise sert de point d\u2019ancrage pour guider le comportement et les d\u00e9cisions fondamentales \u00e0 la conduite des affaires. Les dirigeants d\u2019une entreprise jouent un r\u00f4le d\u00e9terminant dans la d\u00e9finition, l&#8217;adaptation et la transmission des valeurs qui guident l\u2019action et l\u2019interaction en organisation. Un leader efficace d\u00e9montre et met en pratique les valeurs articul\u00e9es afin d&#8217;encourager tous les employ\u00e9s \u00e0 faire de m\u00eame. En ce sens, la valorisation et l\u2019ad\u00e9quation avec les \u00e9l\u00e9ments propres \u00e0 la culture de l\u2019entreprise sont des facteurs centraux \u00e0 l\u2019identification de la rel\u00e8ve. Non seulement contribuent-elles \u00e0 l\u2019harmonie <em>pendant <\/em>le processus de transmission, elles assurent \u00e9galement la perp\u00e9tuit\u00e9 de l\u2019entreprise en coh\u00e9rence avec la mission et les valeurs l\u00e9gu\u00e9es par ses fondateurs.<\/p>\n\n\n\n<ol class=\"wp-block-list\" start=\"4\">\n<li><strong>Un processus de gestion de la succession bien structur\u00e9<\/strong><\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">Finalement, la r\u00e9ussite d\u2019une succession entrepreneuriale n\u00e9cessite une planification minutieuse et, de fa\u00e7on plus importante&nbsp;: du temps! En effet, lorsque les entreprises n&#8217;\u00e9tablissent pas \u00e0 l\u2019avance un plan de succession d\u00e9fini, elles peuvent se retrouver sans candidats viables pour reprendre et conduire l&#8217;entreprise vers l&#8217;avenir, ce qui entra\u00eene n\u00e9cessairement des cons\u00e9quences d\u00e9sastreuses. \u00c9videmment, il existe une pluralit\u00e9 de facteurs qui sont tout aussi importants \u00e0 consid\u00e9rer avant, pendant et apr\u00e8s la planification de la rel\u00e8ve. C\u2019est pourquoi les entreprises sont invit\u00e9es \u00e0 consacrer suffisamment de ressources et d&#8217;attention \u00e0 la succession entrepreneuriale afin de garantir leur survie, leur croissance et leur prosp\u00e9rit\u00e9 \u00e0 long terme. La figure ci-dessous, inspir\u00e9e d\u2019un rapport rendu public par le Minist\u00e8re du D\u00e9veloppement \u00e9conomique, de la Cr\u00e9ation d\u2019emplois et du Commerce de l\u2019Ontario, d\u00e9taille les consid\u00e9rations relatives au contexte, \u00e0 la planification et aux r\u00e9sultats possibles de la succession entrepreneuriale.<\/p>\n\n\n\n<figure class=\"wp-block-image\"><a href=\"http:\/\/epsi-inc.com\/wp-content\/uploads\/2021\/04\/Guide-de-la-planification-de-la-releve.pdf\" target=\"_blank\" rel=\"noopener\"><img decoding=\"async\" src=\"http:\/\/epsi-inc.com\/wp-content\/uploads\/2021\/04\/succession_planning_guide-1024x786.png\" alt=\"Guide de la planification de la rel\u00e8ve\" class=\"wp-image-8351\"\/><\/a><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">Enfin, au cours des trois derni\u00e8res ann\u00e9es, j\u2019ai suivi de pr\u00e8s un processus de planification de succession entrepreneuriale. Chose certaine, la route peut \u00eatre abrupte;&nbsp;en \u00e9mergent des questionnements, des craintes, des remises en question, des jours \u00e0 se demander si on arrivera enfin \u00e0 trouver <em>la<\/em> formule gagnante. Cependant, avec les bonnes ressources et l\u2019appui n\u00e9cessaire, elle peut mener \u00e0 de prometteuses continuit\u00e9s. Pour les dirigeants et les futurs dirigeants qui s\u2019appr\u00eatent \u00e0 vivre une succession entrepreneuriale, prenez tout le temps qu\u2019il vous faut pour vous assurer de l\u2019alignement et de l\u2019ad\u00e9quation entre votre vision, vos valeurs et vos attentes puis celles de vos partenaires. Identifiez et d\u00e9finissez clairement vos objectifs&nbsp;: qu\u2019est-ce que vous ciblez vraiment, et surtout, pourquoi?
